Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at webspin.com (the “Site”) and the services offered by Webspin LLC (“Webspin,” “we,” “us,” or “our”). By accessing the Site or purchasing our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

1. Services

Webspin creates modern, professionally designed websites for small businesses using AI-assisted generation. Our services include:

• The site purchase: a one-time purchase of a complete website designed for your business, delivered in a ready-to-launch state, including a full export of the website files that you can download at any time
• The hosting and editing subscription (optional): a recurring subscription that keeps your website live on your own domain and gives you access to our online editor, including AI-assisted changes (see Section 5)
• A limited number of AI-assisted changes included with the site purchase itself, usable without a subscription

The specific deliverables and any additional services will be described at the time of purchase and may vary based on available service options.

2. Orders and Payment

2.1 Placing an Order

When you place an order for a website through the Site, you are making a binding offer to purchase the described services at the stated price. We reserve the right to accept or decline any order at our discretion.

2.2 Pricing

All prices are stated in U.S. dollars and are subject to change without notice. The applicable price is the price displayed at the time of your order. We are not responsible for typographical errors in pricing.

2.3 Payment

Payment is processed securely through Stripe, our third-party payment processor. By providing your payment information, you represent that you are authorized to use the payment method and that the information you provide is accurate and complete. You agree to pay all charges incurred in connection with your order, including applicable taxes.

3. Website Delivery

3.1 Delivery Process

Webspin generates websites tailored to your business based on publicly available information and any information you provide. Websites are delivered in a ready-to-launch state. Every purchase includes a downloadable export of your website files; if you subscribe to hosting, we also deploy the website on your domain.

3.2 Delivery Timeline

We will make commercially reasonable efforts to deliver your website promptly. Delivery timelines are estimates and not guaranteed. Delays caused by factors outside our control (including incomplete business information provided by the customer) do not entitle you to a refund outside of our Refund Policy.

3.3 Customer Cooperation

You agree to provide accurate and complete information about your business as reasonably requested by Webspin. Failure to provide necessary information may delay or prevent delivery of your website.

4. Intellectual Property

4.1 Your Website

Upon full payment — and provided the purchase is not refunded under our Refund Policy — Webspin assigns and transfers to you all right, title, and interest that Webspin holds in the website delivered to you, including its design, layout, text, and code as delivered, but excluding the Webspin Property described in Section 4.2 and any Customer Content or Carried-Over Content described in Section 4.3. To the extent any element of the delivered website cannot be assigned as a matter of law, Webspin grants you a perpetual, worldwide, royalty-free, transferable license to use, modify, and display that element for any purpose. If the purchase is refunded, this assignment and license terminate as described in the Refund Policy. You may host the website on any platform of your choosing.

4.2 Webspin’s Rights (“Webspin Property”)

Webspin retains ownership of its proprietary tools, systems, processes, templates, blueprint and design frameworks, and AI systems used to generate websites. Websites generated by Webspin are created using AI-assisted design processes and common design elements, and Webspin retains the right to use similar design patterns, layouts, and components in other websites it generates. While we do not specifically reuse your website as a template for other customers, other websites we generate may share similar design elements as a natural result of our design process.

4.3 Customer Content and Carried-Over Content

“Customer Content” means content you provide to Webspin (such as logos, photographs, or text). “Carried-Over Content” means content — including images, logos, and text — that Webspin collects from your existing website or your public business listings in order to design your website. You retain whatever ownership rights you hold in Customer Content and Carried-Over Content; Webspin claims none.

You represent and warrant that you own, or hold sufficient rights and licenses to use, all Customer Content and all Carried-Over Content that appears on your delivered website, and that its use on your website does not infringe the rights of any third party. You grant Webspin a non-exclusive, royalty-free license to reproduce, host, and display Customer Content and Carried-Over Content solely for the purpose of creating, delivering, hosting, and maintaining your website.

You agree to review the content of your website — in particular its images — and to promptly ask us to remove or replace anything you do not hold rights to. If we receive a credible claim that content on your website infringes a third party’s rights, we may remove that content (see Section 8).

4.4 Restrictions

You may not reverse-engineer, decompile, or attempt to extract the source code of Webspin’s proprietary tools or AI systems. You may not resell or redistribute websites generated by Webspin as a competing website-creation service.

5. Hosting and Editing Subscription

5.1 What It Includes

The hosting and editing subscription keeps your website live on your domain (with SSL included), and gives you access to our online editor — including manual edits, which are unlimited, and AI-assisted changes, which are included while your subscription is active. We host your website on our infrastructure and make commercially reasonable efforts to keep it fast, secure, and available; we do not promise a specific uptime level (see Section 9).

5.2 Billing and Automatic Renewal

The subscription is offered monthly ($19/month) or annually ($200/year), typically with your first month free — the current pricing and any free period are shown at the time you subscribe. The subscription renews automatically at the end of each billing period, and your payment method is charged at each renewal, until you cancel. We will disclose the recurring charge clearly before you subscribe, and you must affirmatively consent to it. For annual subscriptions, we send a reminder email before each renewal charge.

5.3 Free Trial

If your subscription starts with a free period, you will not be charged until the free period ends. Cancel before it ends and you will not be charged at all.

5.4 Cancellation

You may cancel at any time from your account’s billing page — no phone call, no retention flow. Cancellation takes effect at the end of the current billing period; your website stays live and the editor stays available until then. When the subscription ends, we stop hosting the website and it comes off your domain — but the website remains yours: your export stays downloadable from your account, and on request we will provide an export reflecting the latest version of your website. You may host your export anywhere. If you re-subscribe later, we will put your latest version live again. Refunds for subscription payments are described in our Refund Policy.

5.5 Non-Payment

If a renewal payment fails, we will notify you and retry. If payment continues to fail, we may suspend hosting and editor access and treat the subscription as ended. Your export remains available to you.

6. Refunds

Our refund policy is described in our separate Refund Policy document, which is incorporated into these Terms by reference. In summary, you may request a full refund of the site purchase within 14 days of the date of purchase, no questions asked; after 14 days, the site purchase is final. Subscription cancellations and refunds are also covered there. Please see our Refund Policy for complete details.

7. Acceptable Use

You agree not to use the Site, our services, or any website we host for you:

• For any unlawful purpose or in violation of any applicable law or regulation
• To infringe upon or violate the intellectual property rights of others
• To transmit or publish any material that is defamatory, obscene, threatening, or otherwise objectionable
• To interfere with or disrupt the Site or its infrastructure
• To attempt to gain unauthorized access to any portion of the Site or any other systems or networks
• To engage in automated scraping, data mining, or other automated access to the Site without our prior written consent

If a website we host for you violates this section, we may remove the offending content or suspend hosting after notice to you (or without notice where legally required or where the violation creates risk to others).

8. Copyright Complaints

We respect the intellectual property rights of others and expect the websites we host to do the same. If you believe content on a website hosted by Webspin infringes your copyright, send a notice to legal@webspin.com or to our postal address below, identifying the copyrighted work, the material you believe infringes it and where it appears, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them. We review such notices promptly and remove or disable access to infringing material where appropriate. We may terminate hosting for repeat infringers.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WEBSPIN DOES NOT WARRANT THAT THE SITE OR ANY HOSTED WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Webspin does not guarantee any specific business results, traffic, or revenue from websites we create. Website performance depends on many factors outside our control, including your business operations, marketing efforts, market conditions, and other variables.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WEBSPIN’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO WEBSPIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WEBSPIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WEBSPIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Webspin, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any Customer Content or Carried-Over Content, including any claim that such content infringes or violates the rights of a third party.

12. Termination

We may suspend or terminate your access to the Site or services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site ceases immediately. Termination does not affect the rights assigned or licensed to you under Section 4.1 for a website you have fully paid for, or your access to your export. If we terminate an active subscription without cause before the end of a period you have paid for, we will refund the prepaid subscription fees for the unused remainder of that period; suspension or termination for cause (including under Sections 5.5, 7, or 8) does not entitle you to a refund except as required by law. Sections 4, 9, 10, 11, and 14 shall survive any termination of these Terms.

13. Modifications to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised “Last Updated” date. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Site.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of Travis County, Texas, and you consent to the exclusive jurisdiction of such courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Webspin regarding the subject matter hereof.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of Webspin to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Webspin may assign its rights and obligations under these Terms without restriction.
